ICSA Constitutional Progress

The Council of the Institute of Chartered Secretaries and Administrators met in London on 7 and 8 December 2012 to determine the new constitutional framework for the Institute's governance. Central to the new framework is the agreed abolition of the inbuilt majority on Council for the United Kingdom and Republic of Ireland.

After 10 months of drafting and discussion, the Council has approved the new framework unanimously. Subject to final tidying up of drafting points and sign off by Divisions and the UK Committee, the draft charter amendments and new draft byelaws will be submitted for comment to the Privy Council Office early in the New Year.

The next step will be to take the new constitutional framework to a general meeting of Members. This will be some months away. Notices of general meeting will be sent out by the UK Committee and the Divisions to their Members. Members will be pleased to know that the Council met in a genuinely positive and cooperative spirit. There was a renewed optimism that the process would be concluded in coming months to the satisfaction of all Members and the good of the Institute.
