ICSA General Meetings - London, 8 December 2011 - Your vote

Your proxy vote is essential to protect the interests of New Zealand Members

Two meetings of the Members of the Institute of Chartered Secretaries and Administrators [ICSA] will take place on Thursday 8 December 2011 at the University of London. The outcome of these meetings is vitally important to protect the interests of New Zealand Members.

The first meeting has been convened by the ICSA Council and proposes amendments to the Charter and Bye-laws of the Institute which will have the effect of further diminishing the governance role of the ICSA Council and entrenching the power of the UK Committee and the UK CEO.

The second meeting has been convened by more than 200 Members of ICSA from the eight Divisions, including New Zealand, and proposes changes to the Charter and Bye-laws which would remove the UK's entrenched majority on the ICSA Council and reduce the number of members of Council from 28 to a more manageable size of 18.

The Members of the Committee for New Zealand and Board of Chartered Secretaries New Zealand Inc. recommend that you vote AGAINST the resolutions at the first meeting and FOR the resolutions at the second meeting.

The Notice of Meeting and proxy for the first meeting are clipped together and are separate from the Notice of the Meeting and proxy for the second meeting. [ICSA has determined the format of the forms.]

Please note a proxy that is scanned or faxed is not permissible and will not be acceptable to the Scrutineers in London . A reply paid envelope is enclosed for the return of your original proxies [2] to CSNZ in Auckland .

Proxies are required to be returned to CSNZ in Auckland on or before 2 December in order that they will be delivered to ICSA in London by 6 December 2011 which is the proxy deadline.
