NOTICE OF THE CHARTERED GOVERNANCE INSTITUTE AGM 22 SEPTEMBER 2023

Dear Member

The 2023 Annual General Meeting of The Chartered Governance Institute (The Institute) will be held at 18:00 hrs (local time) on Friday, 22 September 2023 at the Metropolitan Hotel (Connaught Room), 645 Howe St. Vancouver, British Columbia, Canada. The meeting will also be fully digitally enabled via LUMI.

The following business will be put to the meeting:

  1. To receive and consider the report of the Council on the business of the Institute for the year ended 30 June 2023 as set out in Appendix A to this notice.
  1. To receive comprehensive financial statements of the Institute for the year ended 30 June 2023 as set out in Appendix B to this notice.

You have the opportunity to attend the AGM in person or to participate online using your smartphone, tablet or computer. If you choose to participate online, you will be able to appoint a proxy and ask questions in writing in advance of the meeting. You will also be able to view a live webcast, submit questions in writing or via audio and vote if you have not already submitted a proxy.

The Proxy Form is available on the Institute’s website and also here on the Governance New Zealand website. 

Denis Mowbray is the New Zealand Council representative, and he will be attending the meeting in person. Denis can hold your Proxy.

Notes not forming part of the resolutions

  1. The Council of the Institute has appointed LUMI as scrutineers of the annual general meeting for the purposes set out in the bylaws.
  1. In order to be passed, resolutions 1 and 2 require a simple majority of the members voting (e-voting, in person or by proxy) on a poll taken in such a manner as the person chairing the meeting directs.
  1. A member entitled to participate and vote at the meeting may appoint a proxy to attend, speak and vote on their behalf. A proxy must be a member of the Institute who is entitled to vote.

How to appoint a proxy and/or join the meeting remotely

You have the opportunity to attend the AGM in person or to participate online using your smartphone, tablet or computer. If you choose to participate online, you will be able to appoint a proxy and ask questions in writing in advance of the meeting. You will also be able to view a live webcast, submit questions in writing and vote if you have not already submitted a proxy. This link will take you to the Lumi platform where you will be able to view all the information you should need to make your choice.

The link can be accessed online using the latest version of Chrome, Firefox and Safari on your PC, laptop, tablet or smartphone. When accessing the meeting platform, you will be asked to enter your unique details:

Password: [membership number]

Asking a question in advance or during the meeting

To help us ensure that full answers to questions can be given at the AGM, it is helpful to receive these in advance. If you would like to submit a question in advance, please do it via LUMI or send it to agm@cgi.org.uk by midday on Tuesday, 19 September 2023. However, please note that this does not preclude you from asking questions during the meeting.

Questions on the day can be submitted via the Lumi messaging function.

Please be aware that to be valid, all completed proxy forms must be received by 18.00 hrs (BST) on Wednesday, 20 September 2023. After this time, you will not be able to appoint a proxy and, if you wish to vote on the resolutions, you must join the meeting.
