Corporate Law

Offered Semester 2 only

This Course has been designed to achieve the following aim: to provide a thorough understanding of the sources of legal frameworks relevant to corporate law and the key specific provisions and sections of corporate law, across the various structures, management and performance of business entities.

On successful completion of the course, you should be able to:

  • Conceptualise knowledge of the theories and principles related to the structure and regulation of commercial organisations.
  • Give a reasoned opinion on the legal structures available to a variety of types of organisations and their appropriateness.
  • Critically appraise the legal and other issues arising in complex scenarios and apply relevant law such as under the relevant legislation in jurisdiction.
  • Critically examine the impact of the external regulatory environment on the structure of commercial organisations.
  • Demonstrate appropriate judgment on presenting advice on structural and legal issues in a relevant form.

This course is delivered fully online over 15 weeks. There are 14 weeks of mostly self-directed learning time and includes a mid-semester teaching break (2 weeks). The course concludes with a study week before the final examination.

Assessment

Course assessment will require analysis and synthesis, and the application of theory into governance practice using case studies.

Students must attempt all assessments and achieve an overall final grade of at least 50% to pass the course.
