Corporate Accountability: Meetings & Disclosure

Offered Semester 1 only

This Course is designed for the corporate sector and provides a highly practical review of key issues relating to company secretarial practice and the rules of company meetings and their application, with reference to NZX Listing Rules and governance principles. It also builds upon the Course Applied Corporate Law or equivalent university studies undertaken by law graduates.

On successful completion of the course, you should be able to:

  • Show an understanding of the practice relating to the company secretary/governance professional role and responsibilities of associated stakeholders including inter alia the board, directors, management and shareholders.
  • Recognise appropriate practice required to ensure compliance with corporate regulatory requirements and principles.
  • Demonstrate appropriate judgement in the provision of advice to the board as regards expectations and compliance associated with regulatory requirements.
  • Show an understanding of the practices and principles relating to company meetings with particular reference to the corporate governance objectives and regulatory requirements associated therewith.

This course is delivered fully online over 15 weeks. There are 14 weeks of mostly self-directed learning time and includes a mid-semester teaching break (2 weeks). The course concludes with a study week before the final examination.

Assessment

Course assessment will require analysis and synthesis, and the application of theory into governance practice using case studies.

Students must attempt all assessments and achieve an overall final grade of at least 50% to pass the course.
