Corporate Governance

Offered twice a year - Semester 1 and Semester 2. 

This course has been designed to:

  • provide corporate governance professionals, including company executives, senior managers and company secretaries, with a solid platform of governance knowledge and skills.
  • identify the business and organizational context of corporate governance.
  • develop an awareness and understanding of governance processes and systems and their relevance to compliance, due diligence, best practice and professionalism.
  • identify the changing nature of governance and challenges presented by the 21st century business environment.

On successful completion of the course, you should be able to:

  • Research and critically apply the growing global, regional and local information sources on corporate governance.
  • Justify and promote awareness of, and be responsible for, continuing self and personnel development on corporate governance themes.
  • Apply the concepts of disclosure in terms of accountability, transparency, corporate social responsibility, ethical standards and sustainability in governance.
  • Critically appraise and apply corporate governance principles and best practices in risk management for the board in the employing or client organisation.
  • Exercise appropriate judgment in the use of professional knowledge and skills to the resolution of practical issues and problems in the proper governance of the employing or client organisation.

  • The board of directors and leadership
  • Financial and non-financial reporting
  • Corporate social responsibility, business ethics
  • Role of the board in risk management and internal control
  • Relationships with shareholders
  • Remuneration of directors and senior executives

This course is delivered fully online over 15 weeks. There are 14 weeks of mostly self-directed learning time and includes a mid-semester teaching break (2 weeks). The course concludes with a study week before the final examination.

Assessment

Course assessment will require analysis and synthesis, and the application of theory into governance practice using case studies.

Students must attempt all assessments and achieve an overall final grade of at least 50% to pass the course.
